1. Agreement to Terms

By accessing or using the hiroi platform ("Service"), available at https://hiroi.ai, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and hiroi ("we", "us", "our") governing your use of the Service.

2. Service Description

The Service is a software-as-a-service (SaaS) platform that enables users to:

Create and manage AI-powered chatbot widgets
Configure chatbot appearance, behavior, and knowledge base
Embed chatbot widgets on third-party websites
Access conversation analytics and management tools
Use voice and text interaction capabilities powered by artificial intelligence

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. Account Registration

4.1 Account Creation

To use the Service, you must create an account using Google OAuth or another supported authentication method. You agree to provide accurate, current, and complete information during registration.

4.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account

4.3 One Account Per Entity

Each individual or legal entity may maintain one account unless otherwise authorized by hiroi.

5. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.

5.1 General Restrictions

You agree not to:

Use the Service for any unlawful purpose
Violate any applicable laws or regulations
Infringe on any third party's intellectual property rights
Transmit harmful, threatening, abusive, or objectionable content
Attempt to gain unauthorized access to the Service or its related systems
Interfere with or disrupt the Service or its infrastructure
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to develop a competing product

5.2 AI-Specific Restrictions

You acknowledge that chatbot responses are generated by artificial intelligence and agree not to:

Deploy chatbots that provide medical, legal, or financial advice without clear disclaimers
Create chatbots designed to deceive users about their AI nature
Use the Service to generate harmful, discriminatory, or misleading content
Train chatbots using content you do not have the right to use

6. Intellectual Property

6.1 Your Content

You retain ownership of all content you create, upload, or configure through the Service, including bot configurations, knowledge base documents, and widget settings. By using the Service, you grant hiroi a limited, non-exclusive license to process your content solely to provide the Service.

6.2 Our Platform

The Service, including its software, design, features, documentation, and all related intellectual property, is owned by hiroi. These Terms do not grant you any rights to our trademarks, logos, or brand features.

The widget embed code is provided under a limited license for use in connection with your authorized use of the Service. This license terminates upon termination of your account.

7. AI and Third-Party Processing

7.1 AI-Generated Content

You acknowledge that:

Chatbot responses are generated by third-party AI services (including OpenAI)
AI-generated content may not always be accurate, complete, or appropriate
hiroi does not guarantee the accuracy or quality of AI-generated responses
You are responsible for reviewing and monitoring the outputs of chatbots you deploy

7.2 Third-Party Services

The Service relies on third-party providers for AI processing, authentication, voice synthesis, and payment processing. These providers are listed on our Subprocessors page.

8. Fees and Payment

8.1 Pricing

The Service may offer free and paid tiers. Pricing is published on the Service and may be updated with reasonable notice.

8.2 Payment Processing

Payments are processed through Stripe. By making a payment, you agree to Stripe's terms of service. hiroi does not store your full payment card details.

8.3 Refunds

Refund policies are described in the applicable pricing documentation. Token-based usage is generally non-refundable once consumed.

9. Service Availability

9.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated when possible.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. Material changes will be communicated to active users.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRENTAPPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10.3 Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold hiroi harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Content generated by chatbots you deploy
Your violation of these Terms
Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your account at any time through your account settings. Upon termination, your data will be handled according to our Privacy Policy.

12.2 By Us

We may suspend or terminate your account if you violate these Terms or the Acceptable Use Policy. We will provide notice when reasonable and practicable.

12.3 Effect of Termination

Upon termination:

Your right to use the Service immediately ceases
Your widget embeds will stop functioning
Your data will be retained for 30 days, then permanently deleted
You may request a data export before deletion

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law provisions.

13.2 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us.

13.3 Jurisdiction

Any legal proceedings shall be brought in the courts of competent jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. General Provisions

15.1 Severability

If any provision of these Terms is held invalid, the remaining provisions continue in full force.

15.2 Waiver

Failure to enforce any right under these Terms does not constitute a waiver of that right.

15.3 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and hiroi regarding the Service.
